Terms for assigned batches, sessions, and mentor obligations.

This Mentor Services Agreement (“Agreement”) is entered into between:
Codevensiva™ Academy, operating through academy.codevensiva.com, hereinafter referred to as the “Academy”, AND
The individual accepting and digitally signing this Agreement, hereinafter referred to as the “Mentor.”
Collectively referred to as the “Parties.”
This Agreement shall become effective upon digital execution by the Mentor and shall govern the Mentor’s engagement with Codevensiva™ Academy for the applicable course batch.
1.1 The Academy appoints the Mentor to conduct online and/or offline training sessions for assigned course batches.
1.2 The Mentor agrees to conduct training professionally and in accordance with:
1.3 The Mentor shall only conduct Academy-approved courses and shall not independently modify course scope, duration, curriculum, or delivery methodology without written approval.
1.4 This Agreement shall be digitally executed one (1) day prior to commencement of the applicable batch.
1.5 Execution of this Agreement for one batch shall not guarantee assignment of future batches.
2.1 The Mentor shall act as an independent contractor and not as an employee, partner, representative, or agent of the Academy.
2.2 Nothing under this Agreement shall be interpreted as creating:

3.1 The Mentor shall receive 40% (Forty Percent) of the Net Revenue generated from student enrollments for the Mentor’s assigned course batch.
3.2 Net Revenue means total revenue collected from student enrollments after deduction of:
3.3 Revenue-sharing percentages may be revised for future batches as per Academy business requirements and policies.
3.4 Once a batch commences and this Agreement is signed, the agreed revenue share shall remain fixed for that batch and cannot be revised during the active batch period.

4.2 Payments may be delayed in exceptional circumstances including:
4.3 The Academy reserves the right to withhold disputed payments until resolution of operational, legal, or student-related disputes.

6.1 The Academy may organize career guidance sessions for students or colleges.
6.2 The Mentor shall participate in one mandatory guidance session per month, if assigned by the Academy.
6.3 Prior notice shall be communicated by the Academy.
7.1 Once a batch has commenced, the Mentor shall not discontinue or abandon the batch midway without valid and approved reason.
7.2 Acceptable grounds include:
7.3 The Mentor shall immediately notify the Academy in case of emergency.
7.4 The Mentor shall reasonably cooperate in transition to a replacement mentor, if required.
7.5 If the Mentor intentionally abandons or terminates an active batch without Academy approval, the Academy reserves the right to recover actual financial and reputational losses, subject to applicable law.
8.1 The Mentor may cancel or reschedule sessions only under emergency situations.
8.2 A maximum of two (2) session days per calendar month may be cancelled without penalty, subject to approval.
8.3 Cancelled sessions must be compensated by extending batch duration.
8.4 The Mentor shall notify the Academy minimum 12 hours in advance through:

8.6 In emergencies, approval timelines may be relaxed at Academy discretion.
9.1 Batch timings shall remain fixed once the course commences.
9.2 Timing changes shall only be allowed under exceptional circumstances and require approval from:

10.1 All educational materials used, created, uploaded, or delivered for Academy courses shall remain the exclusive intellectual property of Codevensiva™ Academy, including but not limited to:
10.2 Any material developed specifically during Mentor engagement for Academy courses shall automatically vest ownership in Codevensiva™ Academy.
10.3 Mentors are strictly prohibited from:
10.4 The Academy reserves unrestricted rights to use, modify, market, record, distribute, or repurpose Academy content.
11.1 The Mentor shall maintain strict confidentiality regarding:

11.3 Student information may only be used for authorized educational communication.
11.4 Confidentiality obligations shall survive termination of this Agreement.
12.1 During Mentor engagement and for a period of twelve (12) months after completion of the applicable batch, the Mentor shall not:

The Academy reserves the right to suspend or terminate Mentor association immediately in case of:
Neither Party shall be liable for failure due to circumstances beyond reasonable control, including:
This Agreement shall be governed by the laws of India.
Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of courts located in Pune, Maharashtra.
The Academy reserves the right to revise operational policies, mentor guidelines, and commercial structures for future batches.
Such changes shall not affect already active batches unless mutually agreed.
